1. Acceptance of Terms

By accessing or using the X5 Labs, Inc. ("X5 Labs," "we," "our," or "us") website and services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Services.

2. Description of Services

X5 Labs provides an Execution Intelligence platform designed for enterprise environments. Our Services include, but are not limited to, workflow observation, digital twin generation, and governed AI execution capabilities. Access to certain features may require a separate enterprise agreement.

3. Eligibility

The Services are intended for business use by organizations and their authorized representatives. You must be at least 18 years of age and have the authority to bind your organization to these Terms.

4. User Accounts

Certain features of the Services may require registration. You agree to provide accurate, current, and complete information, and to keep your credentials confidential. You are responsible for all activity under your account.

5. Intellectual Property

All content, software, algorithms, models, designs, trademarks, and other intellectual property associated with the Services are owned by X5 Labs or its licensors. No right, title, or interest is transferred to you except as expressly stated in a written agreement.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Services.
• Use the Services for unlawful purposes or in violation of applicable regulations.
• Attempt to gain unauthorized access to any systems or networks connected to the Services.
• Interfere with the integrity or performance of the Services.
• Resell, sublicense, or redistribute the Services without prior written consent.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Services, you consent to the practices described therein. X5 Labs is committed to a privacy-first architecture. Customer data processed through the platform is not used for model training or shared with third parties unless required by law.

8. Confidentiality

Each party agrees to hold the other party's confidential information in strict confidence and not to disclose it to any third party without prior written consent, except as required by law or as necessary to perform obligations under these Terms.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Services may be subject to scheduled maintenance, updates, or unforeseen outages. We will make commercially reasonable efforts to provide advance notice of planned downtime.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. X5 LABS DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, X5 LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO X5 LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless X5 Labs and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

13. Term and Termination

These Terms remain in effect until terminated. We may suspend or terminate your access at any time for breach of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination shall remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Services or by email. Continued use of the Services after changes constitute acceptance of the revised Terms.
